Terms and conditions

Vayalis designs and codes a unique website for the client, hosts it, secures it, carries out its routine changes and, in the Visibility plan, produces four pages and four articles every month, in exchange for a monthly plan. Anything not included (online shop, booking, client area, heavy redesign, business feature) is quoted separately and accepted in writing.

The Essential plan costs €1 at the order then €39 a month. The Visibility plan costs €1 at the order then €79 a month. The amounts are the same in euros, Swiss francs and US dollars, in the currency chosen at the order, excluding tax, with VAT added according to the client's situation. At the order the client pays the order amount and the first monthly payment. The first year total is €469 excluding tax for Essential and €949 excluding tax for Visibility.

The contract is formed online when the client, after checking the summary of the order, accepts these terms and confirms the payment. Vayalis acknowledges the order by email, restating the amounts, the duration and these terms. That email and the payment record are the proof of the contract.

Payment is made by card through Stripe. The first monthly payment is made with the order, then each monthly payment is charged on the same date of the following month. If a payment is declined, Stripe retries it and the client is informed by email; after thirty days unpaid, Vayalis may suspend the site until the situation is settled. Late payment between professionals carries, by law, penalties at three times the French legal interest rate and a fixed recovery fee of forty euros per invoice (articles L441-10 and D441-5 of the French Commercial Code).

The plan runs for twelve monthly payments minimum from the order. After that it continues month by month and either side can end it by email with one month's notice. If the plan is stopped before the twelfth monthly payment, for any reason, the remaining monthly payments become due immediately, and handing over the source code does not release the client from that obligation. The price does not change without the client's written agreement.

A consumer client, and a professional client with five employees or fewer whose main activity is unrelated to the subject of the contract, has fourteen days from the order to withdraw (articles L221-3 and L221-18 of the French Consumer Code). By expressly asking at the order for the work to start immediately, the client acknowledges losing this right once the site is delivered, and that a withdrawal before delivery is charged for the work already done, pro rata (article L221-25).

A complete first version of the site is delivered for review within 48 hours of the order and of receiving the necessary material (logo, copy, photos, access to the domain name). The site goes live after the client's written approval. A delay caused by the client extends the schedule accordingly.

The domain name is registered or kept in the client's name. The source code of the site, the designs and the content produced belong to the client from the day the site goes live. On request, Vayalis hands over a full export of the site within fifteen days, free of charge, including during the commitment period. The logo and brand supplied by the client remain the client's; third party fonts and libraries remain under their own licences.

Hosting by Vayalis is included in the plan, with an HTTPS certificate, daily backups and monitoring. The client may prefer their own host, in which case Vayalis deploys the site there and monitors it within the limits of the access provided, with no change to the monthly price; outages of that host are not Vayalis's responsibility. Changes to existing text and images are included, within reason, and delivered within forty eight working hours.

Every month Vayalis writes four pages and four articles on topics chosen from verified search data, with the useful structured data and internal links and provides a positions report. The client may ask to approve each piece before publication. Content not produced in a given month because of the client is not carried over.

Both sides keep the information exchanged during the contract confidential, and for five years after it. Vayalis processes the personal data of the client and of the site's visitors in line with the General Data Protection Regulation; invoices and payments are processed by Stripe under its own policy.

Vayalis's liability is limited to the monthly payments received over the last twelve months, subject to mandatory applicable rules. Indirect damage, such as loss of business or damage to reputation, is not covered.

These terms are governed by French law. In case of dispute the parties first seek an amicable solution; failing that, the competent court is the one of Vayalis's registered office, subject to the protective rules applicable to consumers.
